Membership of the Interac network.com website (herein referred to as the “Website” is provided subject to compliance with the terms and conditions set out below

Please read these terms and conditions carefully before agreeing.

Who can be a member

Membership of the Website is limited to individuals only and each individual can only have one account. Each member must be at least 13 years old or older to register as a member. Automated services, scripts, or other machines are not eligible. Membership of the Website is free.

Regarding Member Registration Obligations

An individual wishing to become a member or apply for a job with Interac will need to posses computer equipment and telecommunications access so as to be able to access the World Wide Web. Member must provide, at Member's own expense, all equipment, all services (including, where applicable, telephone or internet access service) and all related third-party service fees (such as ISP charges) necessary to access. Also, in consideration of becoming a member or applying for a job , the member agrees to provide to Interac true, accurate, current, and complete information as requested by the Website's online registration and application forms. This information shall herein be referred to as ‘Membership Data.’ Members agree to maintain and promptly update Membership Data in order to keep it true, accurate, current and complete. If a member provides any information that is untrue, inaccurate, not current or incomplete, Interac may suspend or terminate the member's account immediately and may refuse the member the option to register as a member again.

Regarding Password & Account Access

Both members and Interac have certain rights and responsibilities regarding account access.

A member must select a username and password in order to register as a member or apply for a job through the Website. A member will need to provide and login using the selected username and password to access and or update any information given in the course of applying for a job or registering as a member or to access the online community and members’ area. This is to prevent unauthorized activity. For security reasons we advise that members memorize their username and not write them down.

In addition members agree: (i) not to use any language in their username, password, e-mail addresses, aliases, e-mails, or any other communication that Interac deems offensive or obscene. Interac reserves the right to immediately suspend or terminate the account of any member who violates this at its sole discretion and may deny the member all current and future access. (ii) To keep their e-mail addresses, usernames and passwords confidential, and be solely responsible for all activities that occur under their e-mail address, member username and password, including all unauthorized activities. (iii) To immediately notify Interac of any unauthorized use of their username and password or any other breach of security related to the Website, and ensure that the member exits from his/her account at the end of each session (iv) to comply with all applicable local, state, federal and international laws and regulations with respect to the member's account.

Interac will encrypt a member's password on the database. Also, Interac is entitled to act on instructions received under a member’s username and password. Interac cannot and will not be liable for any loss or damage arising from a member's failure to adequately safeguard a member's username name and/or password.

Regarding correspondence

Member agrees that clicking the "OK I agree" button on this form constitutes an opt-in to receive personalized email messages from Interac and selected job notices from time to time. The Member may opt-out of these messages by following the proper procedure outlined in such communications. Further, if a member checks the box headed 'newsletter' on the Website, he/she will have opted-in to receive further information including newsletters from Interac via electronic mail. The Member may opt-out of these messages by following the proper procedure outlined in such communications.

Members further agree that any correspondence between the member and an individual or corporation advertising or sharing information or providing a link on the Website (herein referred to as Sponsors) shall be solely between the member and the Sponsor. Interac assumes no liability, obligation or responsibility for, and makes no warranty with respect to, any part of any services, fulfillment of such services, promotions or advertisements by Sponsors or any personal information provided by a member to Sponsors. Members agree that Interac shall not be responsible or liable for any loss or damage of any sort incurred as the result of any dealings with Sponsors or as the result of the presence of such Sponsors on the Website.

Regarding Proprietary Rights to Content

Member agrees that title, ownership rights and other intellectual property and proprietary rights in the Website and its content remain with Interac Co., Ltd.

Regarding behavior of Members

Member agrees not to use the Website to (i) violate any local, state, national or international law; (ii) impersonate any person, or otherwise misrepresent member's identity; (iii) interfere with another member's use of the Website; (iv) attempt to gain unauthorized access to the Website’s community or member’s area, or to other accounts, computer systems or networks connected to the Website; (v) transmit any file that contains viruses, worms, Trojan horses, or any other contaminating or destructive features; (vi) use the Website to conduct any activity or solicit the performance of any illegal activity or other activity that infringes the rights of others.

Regarding Termination of Membership

This Member Agreement and a member’s account, may be terminated or a job application withdrawn as follows:

At any time by a member by contacting us and notifying us of such at recruit@interac.co.jp Interac may terminate this Member Agreement, a member's password, account or use of Interac’s Community and members’ area, and remove and discard any member content in its sole discretion, effective immediately and without prior notice, for any reason, including, without limitation, failure to provide accurate Membership Data, lack of use, or if Interac believes that the member has violated or acted inconsistently with the letter or spirit of this Member Agreement.

Upon termination by either a member or by Interac, Interac may immediately delete the member's account and all related information and files and prevent any further access to such files or future membership. The member's right to use and access the Interac Community and member’s area will cease immediately.

Should a member object to any of the terms or conditions of this Member Agreement or any subsequent modifications thereto or become dissatisfied with membership, the member's only recourse is to immediately discontinue use of his/her membership, and properly terminate membership as set out above.

Regarding Changes to these Terms & Conditions

Interac reserves the right to modify the Website and its content including that of the members’ area, community section, job application process and information requested at such time, and/or Privacy Policy at any time without prior notice. It is a member's responsibility to review from time to time and stay familiar with these terms and conditions and Privacy Policy.

Disclaimer

Members agree that use of this Website is solely at the risk of the member. Interac makes no warranty that use of the Website will be uninterrupted, timely, free of errors or without defects or regarding the accuracy or reliability of any information through or on the Website.

Further Interac makes no warranty with regard to any products or services obtained by Members through the Website Interac cannot and shall not be liable or responsible for those guarantees, warranties and representations, if any, offered by Sponsors, or suppliers of services. Members agree to look solely to such Sponsors and/or suppliers for any warranty related claims. No advice or information, whether oral or written, obtained by a member from the Website shall create any warranty not expressly made herein.

Regarding Limitation of Liability

Members understand that Interac and/or Sponsors may place restrictions on the use of services offered through the Website. Members also understand that all services offered by Sponsors through the Website are offered by third parties, and that Interac does not operate, control or endorse any information, or services of its Sponsors in any way.

Neither Interac, its officers, directors, employees, independent contractors and shareholders shall be held liable for damages, losses, costs and/or expenses resulting from (i) the use or inability to use the Website; (ii) the reliance on or use of any information provided on the Website; (iii) unauthorized access to or alteration of members’ transmissions or data; (iv) statements or conduct of any third party; (v) any claim attributable to errors, omissions or other inaccuracies on the Website and/or materials or information retrieved through Interacnetwork.com; (vi) any other matter relating to the Website or this Member Agreement;

In the event that any jurisdiction does not allow the exclusion of certain warranties or some of the above limitation or exclusion of liability for certain damages the scope and duration of such warranty shall be the minimum permitted under such applicable law. Members rights may vary from jurisdiction to jurisdiction.

Members acknowledge and agree that Interac neither endorses the contents of any electronic mail, Internet communications, physical mail or other communications in any media nor shall Interac be held responsible or liable for: (i) The accuracy of material contained in electronic mail, Internet, or other communications. (ii) Any infringement of third-party intellectual property rights arising from the electronic mail, Internet, or other communications. (iii) Any fraud or other crime facilitated by the electronic mail, Internet, or other communications. (iv) Members agree that Interac is not liable to a member or to any third party for any modification, suspension or discontinuance of any content on the Website, including changes or discontinuances of service from particular Sponsors or providers.

Regarding Applicable Laws

1. The Member Agreement shall be governed by and construed according to the laws of Japan. The Member Agreement constitutes the complete, final and exclusive understanding between Interac and a member relating to the subject matter hereof and governs members’ use of the Website, superseding all prior or contemporaneous understandings, agreements, communications, and/or advertising with respect to such subject matter.

2. Members may be subject to additional terms and conditions that may apply when they obtain or use third-party content, third-party software or goods and services provided by or through Sponsors or other third parties.

3. If any provision(s) of the Member Agreement is (are) held by a court of competent jurisdiction to be invalid, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties, and all other provisions shall remain in full force and effect.

4. Interac’s failure to exercise or enforce any right or provision of this Member Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Interac in writing.

5. Member agrees that notwithstanding any statute or law to the contrary, any claim or cause of action arising out of, or related to, the use of the Website or this Member Agreement must be filed within one (1) year after the claim or cause of action arose or be forever barred.

6. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Member Agreement.

7. Interac may assign its rights and delegate its duties under this Member Agreement to any party at any time without notice to Member.

8. All headings in this Member Agreement are for convenience only and have no legal effect.

9. Any dispute arising under or in respect of this Member Agreement shall be resolved through binding arbitration in Tokyo, Japan in front of a single arbitrator in accordance with the Commercial Arbitration Rules of the Japan Arbitration Association.

Regarding Any Notices

Except as provided above with respect to modifications of this Member Agreement, Interac may deliver notices to members by prepaid regular mail at the address in Interac’s database, or via electronic mail at the electronic mail address in Interac’s database. Any such notice shall be deemed effectively given upon delivery. Member may give notice to Interac by electronic mail to recruit@interac.co.jp or by prepaid certified mail, return receipt requested at the following address: Interac Co., Ltd Fujibo Bldg. 2-f, 2-10-28 Fujimi, Chiyoda-ku, Tokyo, and any such notice shall be effective upon receipt.

Regarding the Provision of Links

The provision by Interac of a link to any other website or internet location is for members’ convenience only and does not signify Interac’s endorsement of such other site or location or its contents. While Interac endeavors to provide links only to those sites that are reputable and safe, Interac shall not be held responsible for the information, products, or services obtained on such other sites and will not be liable for any damages arising from members’ access to such sites. Any links to other sites are provided merely as a convenience to the users of the Website and any inclusion of such links and frames in the Website does not imply an endorsement of the linked or framed sites or their content.

Regarding Indemnification

Members agree to indemnify and hold harmless Interac and its parent, subsidiaries, affiliates and their respective officers, directors, employees, independent contractors and shareholders, from and against any and all claims, losses, costs (including court costs), fees (including attorney's fees), damages and expenses that such parties may incur as a result of, due to, or arising out of the violation by a member (or anyone acting under a member's account or password) of this Member Agreement or the use or misuse of the Website by a member (or anyone acting under the member's account or password), or the violation of any rights of another by a member (or anyone acting under the member's account or password).

Use and Storage

Members acknowledge that Interac may establish general practices and limits concerning use the Website, including, without limitation, the maximum number of days that information, data, account history or other uploaded content will be retained by Interac, the maximum disk space that will be allotted on Interac’s servers on a member's behalf, and the maximum number of times (and the maximum duration for which) any member may access the Website in a given period of time. Members acknowledge that Interac reserves the right to terminate accounts that are inactive for an extended period of time, as determined by Interac in its sole discretion. Member further acknowledges that Interac reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice. Members agree that Interac has no responsibility or liability for the deletion or failure to store any information or data and other communications or other content maintained or transmitted by or through the Website

Other

1. Members agree not to reproduce, copy, sell, resell or exploit for any commercial purposes, any portion of the Website, The Website is provided for Members’ personal, noncommercial use only.

2. Failure of Interac to insist upon strict performance of any provisions of this Member Agreement shall not be deemed a waiver of its right and remedies. If any provision of this Member Agreement is deemed by a court to be unenforceable, the remainder shall remain in full force and effect
